Licence agreement
Version 1.1 (November 2026)
1. About this agreement
This End User Licence Agreement ("Agreement") is between Manic Networks (ABN [ABN]) ("we", "us") and the person or organisation that buys, downloads, installs or uses the Manic Toolkit ("you"). The Manic Toolkit includes the desktop applications for Windows, macOS and Linux, the Android app, the online and self-hosted web editions, the Toolkit Agent, documentation and updates (together, the "Software"). By installing, activating or using the Software you agree to this Agreement. If you are accepting on behalf of an organisation, you confirm you have authority to bind it.
2. Licence grant and term
Subject to this Agreement and payment of the applicable fee, we grant you a non-exclusive, non-transferable licence to install and use the Software on the platforms named in your licence key, on up to the number of devices stated in your licence ("seats"), for your own internal business purposes, for the licence term shown on your licence (normally 12 months from purchase). A licence for "all platforms" covers every edition we offer. A team licence may be used by the members of the team it is assigned to. The free online trial is licensed for evaluation only, for the trial period shown on the website.
3. Renewal, expiry, updates and support
During the licence term you may use every new version we release, and we provide support by email on a reasonable-efforts basis. You may renew the licence for a further term before or after it ends. If it is not renewed, the Software continues to work for a grace period (normally 14 days) after the end date and then stops working until the licence is renewed; your settings and data on your devices are not deleted. Renewal prices are those shown on the website at the time of renewal.
4. Licence keys and activation
The Software checks your licence key and must contact our licence server to activate each device the first time a key is used, and then at least once in each check-in period (normally 30 days) to confirm the licence is current, pick up renewals and check whether a key has been revoked; it may also check for updates. Only your licence key, an anonymous device identifier, a device name, the platform and the version are sent. Each licence may be activated a limited number of times. You must not share your key outside your organisation or team, exceed your number of seats or activations, or try to bypass, alter or disable licence checks. You can move a seat to a new device by removing the old device in your account, or in the Software, or by asking us.
5. Restrictions
Except as permitted by law that cannot be excluded, you must not: (a) copy, sell, rent, lease, sublicense, lend, distribute or publish the Software or licence keys; (b) reverse engineer, decompile or disassemble the Software, or create derivative works from it; (c) remove or change copyright, licence or trademark notices; (d) use the Software to provide a commercial service to third parties (such as a managed service) without a written agreement with us; (e) use the Software for any unlawful purpose, or against networks, systems or devices you are not authorised to test or manage.
6. Your responsibilities
The Software can run network tests, connect to devices, generate and convert configurations, and suggest commands. You are responsible for checking every command, configuration and result before you apply it, for following your organisation's change-control processes, and for the security of the credentials and data you store in or use with the Software. Vulnerability and threat information comes from public third-party sources and may be incomplete or out of date.
7. Third-party components
The Software includes open-source components (for example xterm.js, ssh2, TweetNaCl and the draw.io editor), each licensed under its own terms, which are included with the Software. Nothing in this Agreement limits your rights under those licences. Product names, vendor names and trademarks mentioned in the Software belong to their owners and are used for identification only; the Software is not affiliated with or endorsed by them.
8. Ownership
The Software is licensed, not sold. We (and our licensors) keep all intellectual property rights in the Software. Content you create with the Software (such as diagrams, reports and configurations) belongs to you.
9. Privacy
The desktop and Android apps keep your data on your device. The online edition keeps working data in your browser. Our handling of account and payment information is described in our Privacy Policy.
10. Consumer guarantees
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in this Agreement excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by any legislation which cannot lawfully be excluded or limited.
11. Disclaimer
To the extent permitted by law, the Software is provided "as is", and we exclude all other warranties, including that it will be error-free, uninterrupted or suitable for a particular purpose.
12. Limitation of liability
To the extent permitted by law: (a) we are not liable for any indirect or consequential loss, loss of data, loss of profit, revenue or business, or network or service outages, however caused; and (b) our total liability arising from the Software or this Agreement is limited, at our option, to supplying the Software again or refunding the fee you paid for the licence concerned. Where the law implies a guarantee that cannot be excluded, our liability is limited to the extent the law allows.
13. Termination
We may terminate your licence and revoke your key if you materially breach this Agreement and do not fix the breach within 14 days of notice. You may stop using the Software at any time. On termination you must stop using and delete the Software. Clauses 5, 7, 8, 10, 11, 12 and 15 survive termination.
14. Changes
We may update this Agreement for future versions. The version that applies to a release is the one included with it.
15. General
This Agreement is governed by the laws of [State or Territory], Australia, and the parties submit to the courts of that place. If a provision is unenforceable it is read down to the extent needed, and the rest continues. This Agreement is the entire agreement about the Software, together with any order or written agreement with us.
